1. About these terms
These Terms & Conditions are entered into between you and Genexis Health Ltd. ("Genexis Health", "we", "us"), a company registered in [Country]. They apply to your use of this website and to every contract for the sale of goods between us.
Our Research Use Only Policy, Compliance & Prohibited Use Policy, Privacy Policy, Shipping Policy and Returns & Refunds Policy are incorporated into these terms. Where there is a conflict, the Research Use Only Policy prevails.
We may amend these terms. The version in force is the version published on this site at the time your order is accepted.
2. Eligibility
You may only use this site and place orders if you are at least 21 years of age, are legally capable of entering into binding contracts, and meet the researcher criteria set out in our Research Use Only Policy.
Where you order on behalf of an organisation, you warrant that you are authorised to bind that organisation, and that organisation is jointly responsible for the obligations in these terms.
3. Research use restriction
All goods are supplied for in-vitro laboratory research use only and must not be administered to humans or animals. This restriction is fundamental to the contract. It is described in full in our Research Use Only Policy, which you accept when you order.
Breach of the research use restriction is a material breach of these terms and entitles us to terminate the contract immediately, to refuse all future supply, and to retain any payment made in respect of goods already dispatched.
4. Orders and acceptance
Your order is an offer to buy. It is not accepted until we confirm acceptance in writing and the goods are dispatched. Displaying a product on this site is an invitation to treat, not an offer to sell, and does not guarantee availability.
We may refuse or cancel any order in accordance with our Research Use Only Policy without giving reasons, and we may contact you about an order before accepting it. Where we cancel an order you have paid for, we refund in full.
We reserve the right to limit order quantities, to decline orders that appear intended for resale, and to decline repeat orders whose pattern is inconsistent with research use.
5. Pricing and payment
Prices are shown exclusive of shipping, insurance, taxes, customs duties and import charges unless stated otherwise. You are responsible for any duty, tax or clearance charge levied in the destination country.
We may correct pricing errors at any time before dispatch. Where a price was materially wrong and you have already paid, we will contact you to confirm whether you wish to proceed at the corrected price or receive a full refund.
Payment is requested once an order is accepted. Goods remain our property until payment has cleared in full.
6. Delivery and title
Delivery timescales are estimates and are not guaranteed. We are not liable for delays caused by carriers, customs authorities, weather or other circumstances outside our reasonable control.
Risk in the goods passes to you on delivery to the address you provide. Title passes on receipt of payment in full. You must inspect goods on arrival and notify us of any damage, shortage or discrepancy within seven days, as set out in our Shipping Policy.
You are responsible for ensuring the delivery address is one at which the goods can lawfully be received and safely stored on arrival.
7. Specification and warranty
We warrant that, at the time of dispatch, goods conform to the specification recorded on the Certificate of Analysis for the supplied lot. That is the entirety of our warranty.
To the fullest extent permitted by law we exclude all other warranties, conditions and representations, express or implied, including any implied warranty of satisfactory quality, merchantability or fitness for a particular purpose.
Determining whether a product is suitable for your experiment is your responsibility. We do not warrant that any product will produce any particular experimental result, and we do not provide protocols, dosing guidance or interpretation of data.
8. Limitation of liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
Subject to that paragraph:
- We are not liable for any loss of profit, loss of business, loss of data, loss of anticipated savings, wasted expenditure, or any indirect or consequential loss, however arising;
- Our total aggregate liability arising out of or in connection with any contract between us is limited to the price paid for the goods giving rise to the claim;
- We accept no liability whatsoever for any loss, injury, illness, death or legal consequence arising from any use of our products outside the research use restriction, including any administration to a human or animal, whether by you or by any third party.
9. Indemnity
You agree to indemnify and hold harmless Genexis Health Ltd., its officers, employees and agents against all claims, demands, proceedings, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of these terms or of the Research Use Only Policy;
- Any use of goods supplied to you outside the research use restriction;
- Any onward supply of goods by you, whether or not that supply was authorised by us;
- Any misrepresentation you make in connection with an order, including in the declarations given at checkout;
- Your breach of any law, licence, permit or institutional requirement.
10. Intellectual property
All content on this website — including text, product data, imagery, the Genexis Health name and logo, and the site's design and code — is owned by or licensed to Genexis Health Ltd. and is protected by intellectual property law. You may not reproduce, republish or commercially exploit it without our written permission.
Nothing in a sale transfers any patent, know-how or other intellectual property right in a compound. Where a compound is the subject of third-party patent rights, it is your responsibility to confirm that your intended research use is permitted in your jurisdiction.
11. Export control and sanctions
Goods may be subject to export control and sanctions regimes. You must not export, re-export or transfer goods in breach of any applicable control, and you confirm that neither you nor your organisation is subject to any sanction, restriction or denied-party listing that would prohibit supply.
We may decline any order where supply would, in our reasonable view, breach an export control, sanctions or embargo requirement.
12. Suspension and termination
We may suspend or terminate your access to this site, refuse to accept further orders, and cancel any outstanding order, immediately and without notice, where we reasonably believe you have breached these terms or our Research Use Only Policy, or where continuing to supply you would expose us to legal or reputational risk.
13. Governing law and jurisdiction
These terms, and any dispute arising out of or in connection with them, are governed by the laws of [Country] and subject to the exclusive jurisdiction of its courts.
Where mandatory consumer protection law in your country of residence gives you rights that cannot be excluded by contract, nothing in these terms affects those rights.
14. General
If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver of it. You may not assign your rights under these terms without our written consent. These terms constitute the entire agreement between us in respect of their subject matter, and supersede any prior understanding.
